1. Ownership and Affiliation

The website Arc (the “Site”), available at arc.so, is operated by Good Morning Technologies GmbH (GmbH) (hereinafter referred to as “Arc”). For the purposes of these Terms of Use, references to “Arc” also include its funders, successors, corporate entities under common control, subsidiaries, affiliates, executives, board members, representatives, developers, partners in joint ventures, advertisers, distributors, and legal advisors (collectively, the “Affiliated Entities”).

2. Acceptance of Terms

By accessing and using the Site, and any content, information, graphics, video, data, or other materials provided by Arc or found on the Site (collectively, “Content”), you acknowledge and agree to comply with these Terms of Use (“Terms”) and our Privacy Policy. These Terms govern your use of the Site and any other person’s use of the Site through your account.

If you do not agree with these Terms, you must not use the Site.

Any content you submit or upload to the Site, including but not limited to text, links, photos, videos, comments, or other materials (“User Submissions”), grants Arc a worldwide, perpetual, irrevocable, transferable, sublicensable, royalty-free license to host, store, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and publicly display such User Submissions in connection with the operation, promotion, and improvement of the Site and Arc services, including but not limited to Arc social media feeds and other online or offline media.

Arc reserves the right to modify, suspend, or discontinue any aspect of the Site, the Content, these Terms, or the Privacy Policy at any time, with or without notice, to the fullest extent permitted by applicable law.

Where required by law, we will provide appropriate notice of material changes (for example, by updating the “Last updated” date or posting a notice on the Site). Your continued use of the Site after changes to these Terms constitutes your acceptance of the updated Terms.

9. Limitation of Liability

To the fullest extent permitted by applicable law, Arc and the Affiliated Entities will not be liable for any:

To the extent permitted by law, Arc’s total aggregate liability for any claims arising out of or related to the Site, Content, or these Terms will be limited to the amount you have paid (if any) to Arc in connection with your use of the Site during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such cases, the limitations will apply to the fullest extent permitted by applicable law.

If any provision of these Terms is held to be invalid or unenforceable, such provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

No failure or delay by Arc in exercising any right or remedy under these Terms shall be deemed a waiver of such right or remedy.

You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of Arc. Arc may freely assign or transfer these Terms, in whole or in part, without restriction.

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction where Good Morning Technologies GmbH is established, without regard to its conflict of law principles, unless otherwise required by mandatory consumer protection laws.
